As the credit crunch continues to roil the capital markets, the securitization world remains largely deadlocked and its restart is facing enormous challenges. Many transactions have been downgraded and have suffered unforeseeable losses, government supported financing has become necessary to support new issuances, issuances without government backed funding remain at historic lows and, of most concern, investor confidence in structured products has been badly shaken. Moreover, many transactions have been subject to restructurings and litigation of various types. Further deterioration within the financial system has led to the nationalization of major banks, insurance companies and mortgage market participants. However, there is a light at the end of the tunnel. A variety of public and private sector initiatives and reforms are underway to address systemic weaknesses and restore investor confidence.

The Institute for U.S. Law's Advanced Legal Writing program is an intensive one-week Legal English seminar that focuses exclusively on legal writing and emphasizes: (1) persuasive legal writing in the context of pleadings and other adversarial documents central to the resolution of disputes; (2) contract drafting; (3) the proper use of language in common commercial and corporate documents; and (4) non-adversarial written communications between lawyers and between lawyers and clients. Although it is an advanced seminar that requires pre-existing fluency in English, common errors in grammar and punctuation will be noted throughout. This IUSLAW program will take place at The Palms Hotel & Spa in Miami Beach , Florida . In addition to the daily academic component (mornings and afternoons), the program includes a number of extra-curricular and social activities in the Miami Beach area.
The primary instructor for this one-week seminar is Professor Debra Lee from Vanderbuilt University Law School . Professor Lee, perhaps the most experienced and innovative Legal English teacher in the country, is the author of American Legal English: Using Language in Legal Contexts (2nd Edition, 2007), published by the University of Michigan Press (with translations funded by the U.S. Department of State). She has taught Legal English in several U.S. Government sponsored programs around the world and is the author of numerous articles on the subject. In addition to her professional degrees, she also has a masters degree in English. Practicing U.S. lawyers with relevant expertise will also speak to the group during the week regarding the drafting of specific types of legal documents. Writing assignments and exercises will be individually reviewed by the instructors.
Tuition for the "Advanced Legal English" program is $1,595.
The Institute has negotiated the discounted hotel rate for participants of $219 per night (exclusive of taxes and special fees) at The Palms Hotel & Spa, a luxury resort hotel directly on the beach. The Draft Common Frame of Reference (DCFR) which contains principles, definitions and model rules of European Private Law was published in early 2009. Following this, the Justice and Home Affairs Council approved the "Guidelines on the setting up of a common frame of reference for European contract law" on 5 June 2009. At present, the European Commission is carrying out a selection process to determine which parts of the academic DCFR will be included in the final CFR. A Commission initiative is expected by the end of 2009. The conference will discuss content and perspectives of a future 'political' CFR.

This IUSLAW seminar familiarizes participants with alternative methods of dispute resolution (ADR). The first part of the seminar approaches mediation and conflict management as a way of avoiding or resolving litigation and of addressing relationships in business with employees, customers and suppliers. It is designed to provide the necessary background, structures, and tools for successful mediation, while also considering negotiation as a separate mode of conflict resolution. In addition to the presentations and skills training sessions, this first part of the seminar will include a visit to a local mediation center.
The second part of the seminar examines the legal issues and processes involved in arbitration. It will be divided into three sections that distinguish between various types of arbitration and the rules, process and other considerations unique to each. The first section will cover domestic U.S. arbitration with particular emphasis on the American Arbitration Association rules. The second section will address the distinctive elements of international commercial arbitration. The third section will be devoted to investment arbitration with special reference to the Convention on the Settlement of Investment Disputes between States and Nationals of other States (ICSID Convention). A visit to the International Centre for the Settlement of Investment Disputes (ICSID) at the World Bank is also planned.
The entire seminar will be led by experienced and respected mediation and arbitration professionals, including senior lawyers from White & Case, Pepper Hamilton and other firms, government-affiliated ADR lawyers, faculty from George Washington University Law Center , as well as senior Court-apppointed mediators and representatives from the American Arbitrtion Association.
Tuition for the "Alternative Dispute Resolution" program is $1,575. Corporate apartment housing arrangements range from $450 - $750 for the period of the program (check-in August 9, check-out August 15.) The Department of Labor has recently issued guidance on what gifts, entertainment and gratuities need to be reported. The Exam itself is only one day, and it's a day that you can pick more or less at your convenience. It's finding the right time to study for the Exam that should be your focus.
STEP 1. You're going to need a minimum of 150 hours (we'd suggest one month of full-time study, or two months of part-time study) to prepare for the Exam. Pull out your calendar and see where you can find that month or two in the coming year.
STEP 2. Download the PTO Exam application from our Patent Bar Review Website, www.patentbarreview.com , and start to get your application in order.
STEP 3. Look to see whether one of our live courses falls within your projected study time. If not, or if you just prefer a homestudy course, plan to register for a homestudy course. Order your preferred course at least a week before your 150-hour study-time starts, and start to study as soon as it arrives (even if you're coming to a live course later).

The substantial costs and uncertainty of patent litigation require the development of alternative case management strategies. With the emergence of contingency-based patent litigation and the proliferation of non-practicing entities or “trolls,” patent reexamination, in many cases, is a cost-effective strategy for defendants seeking to derail a litigation or limit damage exposure. For example, an early filing of a reexamination may enhance the prospects of staying any related litigation. An active reexamination may facilitate settlement on terms favorable to the third party, create intervening rights, or provide new non-infringement and/or estoppel theories. Similarly, patent owners may leverage reexamination or reissue to inoculate patents from third-party attacks and/or to strengthen their patent portfolio in anticipation of litigation. The M&A market has been in a period of great fluctuation along with the economy, with significantly reduced deal activity compared to recent peaks, but with growing expectations that M&A activity will see an uptick in the near future. The steep decline in large leveraged buyouts, as a result of the credit crunch, has been one important trend, while an increase in hostile deals and distressed M&A situations has been another. The decline in large M&A deals and the distress of many sellers has raised questions about what "the market" for deal terms is, whether buyers or sellers now have the upper hand, and whether any new paradigms in dealmaking will emerge. These questions, along with the new deal technology and case law emerging to address them, are among the points that will be discussed at the Doing Deals program.

Commercial real estate financing has remained extremely troubled since the boom ended in late 2007. This seminar will explore how new lower valuations, reduced cash flow, hints of governmentally sponsored salvation, and distress throughout the economy continue to affect commercial real estate borrowers and lenders, and the legal issues their counsel must handle. A faculty of seasoned practitioners will help you beef up legal knowledge that dates back to law school or the last downturn.
